Terms of Service

These Terms of Service (“Terms”) govern your use of Carey, a platform operated by New Horizon Code PTY LTD (ABN 61 634 659 804) (“Carey,” “we,” “us,” or “our”). By accessing or using Carey, you agree to comply with these Terms and our Privacy Policy. If you do not agree, you must not use the Services.

1. Eligibility

You must be at least 18 years old and capable of forming a legally binding agreement. If you use the Services on behalf of an organisation, you represent that you are authorised to do so.

2. Account and Security Obligations

You are responsible for maintaining the confidentiality and integrity of your login credentials. You must notify us immediately of any unauthorised use of your account. Carey includes optional enhanced authentication via our desktop application Carey Secure, which may be required by your organisation.

3. Use of Artificial Intelligence (AI)

Carey includes AI-enhanced tools, including summarisation, workflow automation, and policy insights. AI-generated content is based on available data and algorithms. It may be incomplete, inaccurate, or unsuitable for critical use.

You agree:
Not to rely solely on AI outputs for legal, medical, financial, or compliance decisions.
To independently verify AI outputs before taking any consequential action.
That you assume all risk for using AI-generated responses.

No AI system used in Carey meets the legal threshold of professional advice.

4. Data Ownership and Protection

You retain all rights to your data. Carey is a data processor only. We apply industry-standard security measures, including data encryption in transit and at rest, access control, and audit logging. You are responsible for ensuring your data inputs comply with relevant privacy laws, including the Privacy Act 1988 (Cth) and the NDIS Act 2013.

5. AI and Data Handling Disclosures

AI features do not analyse or retain data unless explicitly activated by a user with appropriate authority. If enabled, your data may be temporarily processed in memory for AI responses, but no identifiable data is stored by AI subsystems.

6. Acceptable Use

You agree not to:
Upload unlawful, harmful, abusive, or obscene content;
Use the platform in high-risk settings where failure could result in death, injury, or serious damage;
Attempt to reverse-engineer, probe, or circumvent platform restrictions or source code;
Misuse the Services to create derivative products, scrape sensitive data, or test vulnerabilities.

7. Availability, Downtime & Limitations

We provide no guarantee of uninterrupted service. Scheduled maintenance and unexpected outages may occur. We may suspend access to the Services if we suspect a breach of these Terms, or if your usage poses a security, legal, or reputational risk.

8. Third-Party Integrations

Carey integrates with third-party services such as Xero, Google, Stripe, Zoom, Intercom, and others. We are not responsible for third-party service performance or data processing. Your use of third-party tools is at your own risk and subject to their terms and conditions.

9. Intellectual Property

We retain all rights, title, and interest in the Carey platform, including software, UI/UX, brand, and underlying systems. You may not copy, reproduce, or exploit any portion of the Services without express written permission.

10. Disclaimers and No Warranty

The Services are provided “as is” and “as available”, without warranties of any kind, express or implied. We do not guarantee:
That the Services will be uninterrupted or error-free;
That AI outputs are accurate or fit for purpose;
That data loss or corruption will not occur.

11. Limitation of Liability

To the maximum extent permitted by law:
We are not liable for indirect, incidental, special, punitive, or consequential damages.
Our total liability for any claim relating to the Services is limited to the amount you paid in the preceding 12 months (if any).

You acknowledge that the use of Carey and its AI features is entirely at your own risk.

12. Indemnity

You agree to indemnify and hold harmless Carey and its related entities from any loss, liability, damage, claim, or expense (including legal fees) arising from:
Your use of the Services;
Your violation of these Terms;
Any claim that your content or use caused damage to a third party.

13. Termination

We may suspend or terminate your account without notice if we suspect you have breached these Terms or misused the platform. Upon termination, you must cease using all Carey services and delete any locally stored data.

14. Legal Compliance

You agree to comply with all applicable laws and regulations, including those related to privacy, data retention, export control, and accessibility. Carey is operated from Queensland, Australia and governed by its laws.

15. Updates to Terms

We may update these Terms at any time. Material changes will be notified via the platform or email. Your continued use of the Services constitutes acceptance of the updated Terms.
